1. Acceptance of Terms

By accessing or using CUE, you agree to comply with and be bound by these Terms and Conditions. If you do not agree, you are not authorized to use CUE. These terms apply to all users, including visitors and registered members.

2. Modification of Terms

We may update these Terms at any time without prior notice. Changes take effect immediately upon posting. Your continued use of CUE after changes have been posted will constitute your acceptance of such changes. We encourage users to review the terms periodically for updates. The date of the last update is reflected at the beginning of these Terms.

3. Account Registration and Security

You must provide accurate and complete registration information. You are responsible for all activities that occur under your account and must keep your password secure. Notify us immediately at cuewebapp@PROTON.ME if you believe your account has been compromised. Sharing accounts is prohibited.

4. Use by Minors

CUE is accessible to users of all ages, but children under 13 must use CUE only with a parent or guardian’s permission. Parents or guardians are responsible for monitoring their children’s use of CUE.

5. User Information and Responsibilities

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. CUE reserves the right to suspend or terminate accounts that contain information that is outdated, incomplete, or inaccurate. You are responsible for any activity that occurs under your account.

6. Prohibited Conduct

Users are strictly prohibited from engaging in the following activities while using CUE:

Unlawful Activities: Using CUE to conduct any unlawful activities or encourage illegal conduct.

Disruption: Engaging in behavior that disrupts or interferes with other users’ ability to use CUE.

Unauthorized Use of Content: Copying, distributing, or disclosing any part of CUE in any medium, including scraping data through automated or non-automated methods, without explicit written permission.

Automated Systems: Using any automated system, including “robots,” “spiders,” or “offline readers,” to access CUE, except in compliance with the instructions in our robots.txt file.

Unauthorized Access: Attempting to access CUE’s systems or servers without authorization, compromising security, or interfering with the proper functioning of the Services.

Misuse of Intellectual Property: Reproducing, distributing, modifying, or otherwise exploiting any part of CUE’s intellectual property without prior written consent.

Misleading Information: Posting or transmitting any false, misleading, or deceptive content, including content that impersonates another individual or entity.

Harmful Content: Uploading, posting, or transmitting any content that is offensive, defamatory, abusive, harassing, harmful, or otherwise objectionable, or that promotes violence or hatred against any individual or group.

Commercial Use: Using CUE’s services for any commercial purpose without prior authorization, including selling, reselling, or exploiting CUE’s features for financial gain.

Consequences of Violation:

Violation of these rules may result in the immediate termination of your account. We reserve the right to pursue further legal action as necessary. Unauthorized access, scraping of CUE’s data, or breach of intellectual property rights will result in a minimum fine of $250,000 and may lead to additional legal actions.

Non-Exhaustive Clause:

The above list of prohibited activities is not exhaustive, and CUE reserves the right to take action against any conduct that it deems harmful to the platform, its users, or its reputation, even if not specifically outlined in these Terms.

7. Intellectual Property

Ownership of Content

All content available on CUE, including but not limited to text, graphics, logos, images, videos, and software, is the property of CUE or is licensed to CUE. This content is protected by copyright, trademark, and other intellectual property laws. You may only use the content available through our app for personal, non-commercial purposes.

Third-Party Media

By accessing or using the Services, you acknowledge that all third-party images, logos, trademarks, and other media are the property of their respective owners. These third-party images are used exclusively for educational or illustrative purposes to enhance user experience and understanding. The inclusion of such third-party media does not imply any affiliation with, endorsement by, or connection to the respective companies, brands, or organizations.

Prohibited Activities

You are prohibited from the following:

Copying, distributing, reproducing, modifying, or creating derivative works based on CUE’s content without prior written consent from CUE.

Using any content for commercial purposes without obtaining proper authorization.

Using any third-party images, logos, or other media in a way that violates the rights of the respective copyright or trademark holder.

Reporting Infringement

If you believe that any content within the app infringes on your intellectual property rights, please contact us immediately at cuewebapp@PROTON.ME with a detailed description of the alleged infringement. We will promptly investigate the matter and take appropriate action, including removing the infringing content if necessary.

8. User-Generated Content

You own the rights to the content you create and post on CUE. However, by posting content, you grant CUE a non-exclusive, royalty-free license to use, reproduce, adapt, publish, and distribute your content in any existing or future media. You represent and warrant that you own or control all rights in and to the Uploaded Content you post and have the right to grant CUE the rights outlined in this section.

9. Content Responsibility

We do not endorse, support, represent, or guarantee the completeness, truthfulness, accuracy, or reliability of any content posted via CUE or endorse any opinions expressed via the service. You understand that by using CUE, you may be exposed to content that might be offensive, harmful, inaccurate, or otherwise inappropriate. You alone remain responsible for the content you create, upload, post, send, or store through the Service.

10. Purchases and Subscriptions

Fees for products or services you purchase through CUE are charged at the time of purchase or shortly thereafter. Subscriptions renew automatically unless you cancel them. You will be charged the renewal subscription fees within 24 hours before the end of the current subscription period. To cancel your subscription, you must log into your External Service Account and follow the relevant instructions. Detailed subscription management instructions for Apple and Google are provided in the app settings.

11. Refund Policy (Revised)

Refund eligibility is primarily determined by the extent of service usage. Extensive use, defined as more than six database queries/searches, generally indicates significant value derived from our service and may impact refund eligibility. Users who feel the service did not meet their expectations, irrespective of usage volume, are encouraged to contact us at cuewebapp@PROTON.ME or via our social media platforms to request a refund. We will review all refund requests on an individual basis.

Important Note Regarding Refunds Through Third-Party App Stores: Refunds requested through third-party platforms such as Apple App Store or Google Play Store are subject to their policies, and users must request refunds within 13 Days of their initial purchase. Any refund requests submitted to Apple or Google after 13 Days will not be eligible for processing. To ensure transparency and fair use of our Services, we recommend contacting us directly for any refund inquiries or issues. CUE reserves the right to deny refunds for users who request refunds after significant use of the service or who we believe have violated the Terms of Service.

Exceptions and Flexibility: If you are unhappy with the service, we encourage you to reach out to us directly at cuewebapp@PROTON.ME. We are flexible and happy to provide refunds to ensure customer satisfaction. However, we ask that users contact us before seeking refunds through third-party platforms. While we aim to ensure satisfaction, we want to avoid situations where the service is taken advantage of.

12. Governing Law & Jurisdiction

These Terms are governed by the laws of the United States without regard to its conflict of law provisions. All disputes will be resolved exclusively in the federal or state courts located in Florida, USA.

13. Dispute Resolution

DISPUTE RESOLUTION BY BINDING ARBITRATION; JURY TRIAL WAIVER; CLASS ACTION WAIVER. For any disputes arising out of or relating to these terms or your use of CUE, you and we agree to resolve such disputes exclusively through binding and confidential arbitration. The arbitration will take place in the federal judicial district of your residence. The arbitration will be conducted before one commercial arbitrator from the American Arbitration Association (“AAA”) with substantial experience in resolving commercial contract disputes. The arbitrator’s decision will be final and binding, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof. To the extent permitted by applicable law, you are agreeing to resolve disputes through arbitration and waiving your right to do so through a court.

14. Limitations and Disclaimer of Warranties

WE WILL NOT BE LIABLE FOR ANY LOSS OR DAMAGE CAUSED BY A DISTRIBUTED DENIAL-OF-SERVICE ATTACK, VIRUSES, OR OTHER TECHNOLOGICALLY HARMFUL MATERIAL THAT MAY INFECT YOUR COMPUTER EQUIPMENT, COMPUTER PROGRAMS, DATA, OR OTHER PROPRIETARY MATERIAL DUE TO YOUR USE OF THE SERVICES OR ITEMS OBTAINED THROUGH THE SERVICES OR TO YOUR DOWNLOADING OF ANY MATERIAL POSTED ON IT, OR ON ANY WEBSITE LINKED TO IT. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU EXPRESSLY UNDERSTAND AND AGREE THAT YOUR USE OF THE SERVICES AND ALL INFORMATION, PRODUCTS, AND OTHER CONTENT (INCLUDING THAT OF THIRD PARTIES) INCLUDED IN OR ACCESSIBLE FROM THE SERVICES IS AT YOUR OWN RISK. THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

15. Limitation on Liability

IN NO EVENT WILL CUE, ITS AFFILIATES, OR ITS LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, INCLUDING BUT NOT LIMITED TO INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES. THIS INCLUDES DAMAGES FOR LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OR INABILITY TO USE THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Our liability is limited to the fullest extent permitted by law, and in no event shall our total liability exceed the amount you paid to CUE in the last six months for the specific services in question.

16. Indemnification

You agree to indemnify, defend, and hold harmless CUE, its affiliates, directors, officers, employees, and agents from any claims, liabilities, damages, losses, costs, and expenses (including legal fees) arising out of or related to your breach of these Terms, misuse of the Services, or violation of any law or third-party rights.

17. Data Protection and Privacy

Your use of CUE is also governed by our Privacy Policy. Please review our Privacy Policy for details on how we collect, use, store, and disclose information in connection with the Services. By using CUE, you consent to all actions taken by us with respect to your information in compliance with our Privacy Policy.

18. Third-Party Services and Content

CUE may contain links to third-party websites or services that are not owned or controlled by CUE. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that CUE shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods, or services available on or through any such websites or services.

19. Modifications to the Service

CUE reserves the right to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice. You agree that CUE shall not be liable to you or to any third party for any modification, suspension, or discontinuance of the Service.

20. Geographic Restrictions

We make no claims that the Services are accessible or appropriate outside of the United States. Access to the Services may not be legal by certain persons or in certain countries. If you access the Services from outside the United States, you do so at your own risk and are responsible for compliance with local laws.

21. Notices

We will send all notices and other communications regarding the Services to you using the contact information you provided during your Account registration, as it may be updated by you from time to time. You may change your contact information by revising your Account profile through the Services. Except as otherwise provided by applicable law, you will be considered to have received a notice from us regarding the Services when we send it to you via the contact information we have in our records for you or when we post such notice on the Services.

22. Entire Agreement and Other General Terms

These Terms and any policies or operating rules posted by us on the Apps, Websites, or in respect to the Service constitute the entire agreement between you and CUE with respect to the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to the Services. These Terms and any rights hereunder may not be transferred or assigned by you without our prior written consent but may be assigned by us without restriction. Any attempted transfer or assignment by you without our prior written consent will be null and void. No agency, joint venture, partnership, trust, or employment relationship is created between you and us by way of these Terms. The section headings used herein are for convenience only and will not be given any legal import.

23. Force Majeure

CUE shall not be liable for any failure or delay in the performance of its obligations under these Terms of Service due to unforeseen events or circumstances beyond its reasonable control, including but not limited to natural disasters, wars, governmental actions, pandemics, or failure of telecommunications networks.

24. Governing Law & Arbitration

These Terms and any disputes arising from your use of the Services are governed by the laws of the state of Florida, without regard to its conflict of law provisions. Any disputes will be resolved exclusively through binding arbitration, as described in the Dispute Resolution section above. You waive the right to participate in any class action lawsuits and agree that any arbitration will be conducted on an individual basis.

25. Jurisdiction and Venue

Any legal actions or proceedings arising from these Terms or your use of the Services must be brought exclusively in the federal or state courts located in Florida, USA. You waive any objections to the exercise of jurisdiction by such courts and venue in such courts.

26. Disclaimer

It is important to note, however, that the insights we offer should be used as a complementary tool rather than the sole basis for making critical decisions. CUE disclaims any liability for actions taken or decisions made based on the information provided by our service. Our objective is to empower you with a unique tool that enables you to leverage the metaphysical, thereby facilitating a smoother and more fulfilling journey to success.

27. Changes to the Service

CUE reserves the right to modify, suspend, or discontinue any part of the Services at any time, with or without notice. You agree that CUE will not be liable for any modification, suspension, or discontinuance of the Services, or for any loss or damages arising from such changes.

28. Termination of Accounts

CUE reserves the right to suspend or terminate your account at its sole discretion if it believes you have violated these Terms or engaged in unlawful behavior. CUE will make reasonable efforts to notify you of such suspension or termination but reserves the right to take immediate action to protect the integrity of its Services. Upon termination, all licenses and rights granted to you under these Terms will cease immediately.
